MARTIUS advises Nera Digital on the acquisition of a strategic stake in comforte AG

The investment company Nera Digital Management GmbH has acquired a stake in comforte AG, a leading global provider of data-centric cybersecurity solutions, via a newly established acquisition structure.

The transaction involves the conclusion of agreements with the widely diversified shareholder group to acquire a minority stake by purchasing existing shares and simultaneously acquiring new shares as part of a capital increase, as well as granting options for a subsequent majority takeover.

 

comforte AG – headquartered in Wiesbaden and with subsidiaries on several continents – offers state-of-the-art solutions for tokenisation and format-preserving encryption of sensitive data with its SecurDPS platform. Its customers include global market leaders such as Visa, Mastercard and numerous major banks and retailers.

 

MARTIUS provided comprehensive legal advice to Nera Digital on this complex strategic investment with Munich-based partners Dr. Philipp Kopp and Thies Jacob. The law firm was responsible in particular for structuring the multi-stage overall transaction, conducting legal due diligence and structuring and establishing the equity structure in the form of an alternative investment fund (AIF).
