MARTIUS advises GSDH/the factory on sale to DRS Investment SE

MARTIUS provided comprehensive advice to the shareholders of Swiss GSDH Kreativagentur and the Factory on the sale and rollover participation to private equity firm DRS Investment SE as part of a multi-stage, cross-border transaction to create the new the factory Group

In addition to the acquisition of GSDH/the Factory, the transaction also included the simultaneous acquisition of the Vignold Group. The rollover reinvestment of the sellers took place within the framework of the club deal structure.

GSDH/the factory is one of the leading independent service providers for the large-volume production of digital marketing assets in the DACH region, with headquarters in Switzerland and production facilities in South Africa. The Vignold Group specialises in the large-volume production of print marketing assets, with headquarters in Germany and production facilities in Thailand.

The simultaneous acquisition creates a leading provider of technology-enabled marketing services. The aim of the new group is to create a leading technology-centric marketing service provider in the marketing tech segment and to drive the AI and tech-induced transformation and consolidation of the market through buy & build.
